Professor Andrew Tuch‘s article “Sustainability Assurance” has been selected for republication in Corporate Practice Commentator. Published by Thomson Reuters and edited by Professor Robert Thompson of Georgetown Law, Corporate Practice Commentator is now in its 68th year of publication. It curates 10-12 of the year’s most influential corporate law articles nationwide, serving as an essential resource for top law firms and corporate law departments.
This marks the fourth time Professor Tuch has received this honor. His previously selected works include “Proxy Advisor Influence in a Comparative Light,” “Banker Loyalty in Mergers and Acquisitions,” and “The Self-Regulation of Investment Bankers.” In addition, two of his articles were featured in Securities Law Review. The annual anthology for scholarship in securities regulation, and two others — “Multiple Gatekeepers” and “Reassessing Self-Dealing” — were voted among the top 10 corporate and securities articles in nationwide polls of scholars.
Coauthored with Luca Enriques, professor of business law at Bocconi University, and Alessandro Romano, assistant professor of law at Bocconi, “Sustainability Assurance” analyzes the rise of “sustainability assurers,” a new class of “green gatekeeper” tasked with verifying public corporate disclosures in the United States and European Union. The article argues that standard market mechanisms, particularly reputational incentives, may fail to prevent false sustainability assurances and are far weaker than those constraining traditional gatekeepers, including financial auditors. It outlines concrete considerations for policymakers evaluating interventions.
